These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Quest Experience LLC (“Company,” “we,” “our,” or “us”), governing your access to and use of the PodSwitcher™ software application, website, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use PodSwitcher™.
By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Description of the Service

PodSwitcher™ is a software application that provides automation and control features for podcast production environments, including integration with ATEM switchers and Bitfocus Companion.
The Service enables users to automate camera switching, scene management, and related production workflows.

We may, at our sole discretion, modify or discontinue any aspect of the Service at any time, with or without notice.

3. License Grant and Restrictions

Subject to these Terms, Quest Experience LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use PodSwitcher™ for your personal or internal business purposes.

You may not:

Copy, modify, or create derivative works of the software.
Reverse-engineer, decompile, or disassemble any portion of the Service.
Resell, sublicense, or distribute the Service to third parties.
Use the Service for any unlawful or prohibited purpose.
Interfere with the operation, security, or integrity of the Service.

All rights not expressly granted are reserved by Quest Experience LLC.

4. Accounts and Security

To access certain features, you may be required to create an account.
You are solely responsible for maintaining the confidentiality of your credentials and all activity under your account.

You agree to:

Provide accurate and up-to-date information.
Notify us immediately at [email protected] of any unauthorized use or security breach.

Quest Experience LLC shall not be liable for any loss or damage resulting from unauthorized account access.

5. Subscription Plans and Payments

PodSwitcher™ offers the following paid plans:

Monthly Plan – $22/month
Yearly Plan – $180/year
Lifetime Ownership Plan – $300 one-time payment

All prices are listed in U.S. Dollars (USD) and are subject to change with prior notice.

By purchasing or subscribing, you authorize Quest Experience LLC (or its payment processor) to charge your payment method for the applicable fees.
Subscriptions renew automatically unless canceled before the renewal date.

You are responsible for all applicable taxes, duties, and fees related to your purchase.

6. Free Trial

New users may be eligible for a 7-day free trial.
At the end of the trial period, continued use of the Service requires a paid subscription.
You must cancel prior to the trial’s expiration to avoid automatic billing.

7. Refund Policy

All fees are non-refundable except where required by applicable law.
If you experience a technical issue that prevents proper use of the Service, please contact [email protected] within 7 days of purchase for review.

8. Lifetime Ownership Plan

The Lifetime Ownership Plan grants ongoing access to PodSwitcher™ and all standard feature updates for the lifetime of the product.
For the purposes of this agreement, “lifetime” refers to the active commercial lifespan of PodSwitcher™ as determined by Quest Experience LLC, not the lifetime of the purchaser.

9. Intellectual Property

All content, trademarks, code, design elements, documentation, and materials associated with PodSwitcher™ are the exclusive property of Quest Experience LLC and are protected by international copyright, trademark, and intellectual property laws.

You acknowledge that PodSwitcher™, including its features and functionality, is proprietary software owned by Quest Experience LLC.

Use of our trademarks, including PodSwitcher™, without express written consent is strictly prohibited.

10. Third-Party Integrations

PodSwitcher™ integrates with third-party tools such as ATEM switchers and Bitfocus Companion.
We are not affiliated with, endorsed by, or responsible for the availability, functionality, or terms of these third-party services.

You are solely responsible for complying with the respective terms and conditions of any third-party software you use in conjunction with PodSwitcher™.

11. User Responsibilities

You agree not to misuse the Service or use it in a manner that:

Violates any applicable laws or regulations.
Infringes the rights of any third party.
Harms, disables, or overloads our systems or networks.
Circumvents or interferes with our licensing or authentication systems.

12. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied.

Quest Experience LLC expressly disclaims all warranties, including but not limited to:

Merchantability, fitness for a particular purpose, and non-infringement.
Any guarantee of error-free or uninterrupted operation.
Any assurance that the Service will meet your expectations or requirements.

Your use of PodSwitcher™ is at your sole risk.

13. Limitation of Liability

To the fullest extent permitted by law, Quest Experience LLC shall not be liable for:

Any indirect, incidental, consequential, or punitive damages.
Loss of data, revenue, profits, or business opportunities.
Damages resulting from unauthorized access, technical failures, or data corruption.

In all cases, Quest Experience LLC’s total liability shall not exceed the amount you paid for the Service within the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Quest Experience LLC, its affiliates, officers, employees, and agents from any and all claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising from:

Your use or misuse of the Service.
Your violation of these Terms or applicable laws.
Your infringement of any third-party rights.

15. Suspension and Termination

We reserve the right, at our sole discretion, to suspend or terminate your access to the Service if we believe you have violated these Terms or engaged in fraudulent or abusive activity.

Upon termination:

Your right to use the Service will immediately cease.
Any outstanding fees will remain due and payable.
Sections 9, 12, 13, and 14 will survive termination.

16. Modifications to the Terms

Quest Experience LLC may modify these Terms at any time by posting an updated version on our website.
The “Last Updated” date at the top of this document indicates the latest revision.
Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Privacy Policy

Your use of PodSwitcher™ is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Casper, Wyoming.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms constitute the entire agreement between you and Quest Experience LLC with respect to PodSwitcher™ and supersede all prior or contemporaneous understandings, agreements, or communications.
